# How to build a clause and precedent library in Notion

A clause library in Notion is a database where each clause is one page, tagged by type, document, jurisdiction and status, with a short note on when to use it and what to check. Keep one approved version per clause, record the review date, and link clauses to the matters that used them.

## Key takeaways

- One clause per page makes search, tagging and reuse simple.
- Properties such as type, jurisdiction and status do the filtering.
- A 'when to use / watch out' note is the most valuable field.
- Review dates stop stale clauses from spreading.

## Database design

| Property | Type | Purpose |
| --- | --- | --- |
| Clause name | Title | Plain label, e.g. Limitation of liability |
| Clause type | Select | Liability, confidentiality, termination, etc. |
| Document type | Multi-select | Where it is normally used |
| Jurisdiction | Select | Where it has been checked |
| Status | Select | Draft, approved, retired |
| Owner | Person | Who maintains it |
| Last reviewed | Date | For review views |
| Used in | Relation | Link to matters |

## A clause page layout

1. Clause text: The approved wording, in a callout or quote block.
2. When to use: Typical situations.
3. Watch out: Points that need checking, such as party roles or governing law.
4. Alternatives: Softer and stricter variants, linked as other clauses.
5. Source: Where the wording came from, only if you know it.

Do not copy wording from sources you have no right to reuse, and make sure client-specific text is removed before a clause enters the library.

## Keeping it trustworthy

- Mark one version approved; archive the rest as retired.
- Create a view of clauses not reviewed in 12 months.
- Record changes in a short log line on the page.
- Have a second lawyer approve additions to the approved set.

A library is a drafting aid. The lawyer still checks each clause against the deal, the governing law and current rules.

## Using it with LawyerOS

LawyerOS Pro with AI ($39) includes a Research database and a matters structure you can link clause pages to. The clause library itself is something you build with the steps above; LawyerOS does not ship a pre-written clause bank or legal wording.

## FAQ

### Should each clause be a page?

Yes. It gives you tags, links and a place for guidance notes.

### How do I stop old versions circulating?

Use a status property and filter views to show only approved clauses.

### Can AI help maintain the library?

It can suggest tags or summaries, but a lawyer should approve all wording.

### Does LawyerOS include clauses?

No. It provides the structure, not legal text.
